Spider-man is arguably as smart as Batman. He has powers that are hard to fight (agility/strength) and his spider sense allows him to avoid most danger. However Batman is a master tactician, has a wide variety of gadgets, and is one of the best martial artists in all of DC. It would be really close. I say Batman.

Batman just needs to whip out a can of spider repellent which he had previously prepared from his utility belt.
Batman can’t resist working up plans on how to negate the powers not only of his fellow Justice League members but if he became aware of a universe where heroes who worked for a different company existed, he would draw up plans on how to defeat all of them if they went rogue as well.

Less interested in seeing them fight, more interested in seeing them team-up again. The dynamic etween the two of them was fun to read (the couple of times it happened, back when DC and Marvel could play nice).

Batman can also shame Spider-man by bringing up the regrettable decision of the Spider-Mobile which was a 70’s dune buggy.
If Batman has ever had any embarrassing or impractical forms of transportation, I don’t remember so maybe they would be a draw in playing ‘the dozens.’

In the 50’s and 60’s Batman had a “Whirly-Bat” and even a “flying” Batcave. Oh, and Spidey for the win.

I always know i can rely upon the kindness of my fellow DC comics fans who either have better memories than i do or have the patience to do some researching about these matter in which no lives hang in the balance but are troubling nevertheless.
Now, i remember the “Whirly-Bat” as it was used in the movie capitalizing on the success of the TV series.
The "Flying’ Batcave does sound very in keeping with the psychedelia rampant in the entire DC line in the 60’s.
I can see Spider-man getting the upper hand upon Batman in a two-out of-three falls match.
